In these Terms, "SICAST", "we", "us" and "our" refer to SICAST, an industrial metal-casting and foundry manufacturer located at Sudair Industrial City, Riyadh Region, Kingdom of Saudi Arabia.

SICAST produces metal castings and related components, such as valve bodies, pump components, flanges, and fittings, for business clients. The Website is informational in nature and additionally allows visitors to submit quotation requests and contact enquiries, including the upload of technical drawings, 3D models, and specifications.

These Terms form a legally binding agreement between you and SICAST. Please read them carefully. They should be read together with our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, you should not access or use the Website.

By accessing, browsing, or otherwise using the Website, by submitting a quotation request or enquiry, or by uploading any material through the Website, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy.

If you use the Website on behalf of a company, organisation, or other legal entity, you represent and warrant that you are authorised to accept these Terms on its behalf, in which case "you" and "your" refer to that entity.

7. Quotations, Product Information, and Non-Binding Nature

Information provided on the Website and in response to enquiries, including Quotations, technical specifications, descriptions, drawings, images, dimensions, tolerances, materials, and performance data, is provided for general guidance and is indicative only.

  • Quotations are estimates. Any Quotation we provide is a non-binding estimate based on the information available to us at the time. It does not constitute an offer capable of acceptance and may be revised, corrected, or withdrawn at any time prior to the formation of a binding contract.
  • Technical specifications and images are indicative. Product specifications, illustrations, and images are intended to give a general impression and may differ from the actual goods supplied. Castings are manufactured to project-specific requirements, and final specifications are confirmed during the contracting process.
  • A binding contract arises only upon a signed agreement or accepted purchase order. No binding contract for the supply of goods or services is formed through the Website or by the issue of a Quotation. A binding contract arises only when expressly agreed in writing through a signed agreement or a purchase order accepted by SICAST, and is subject to the specific commercial terms agreed between the parties.

8. Accuracy of Information and No Warranty on Availability

We take reasonable care to keep the Content accurate and up to date. However, the Content may contain inadvertent inaccuracies, errors, or omissions, and may not always reflect the most current information regarding our products, capabilities, or availability.

When you provide a User Submission, such as technical drawings, 3D models, or specifications, the following terms apply.

Ownership and Licence

You retain all ownership of, and intellectual property rights in, your User Submissions. We do not claim ownership of them. By providing a User Submission, you grant SICAST a non-exclusive, royalty-free licence to use, store, reproduce, and process that User Submission solely for the purposes of evaluating your enquiry, preparing Quotations, communicating with you, and, where applicable, manufacturing and supplying the requested parts. This licence continues for as long as reasonably necessary for those purposes and for our compliance and record-keeping obligations under Applicable Law.

Your Warranties

By providing a User Submission, you represent and warrant that:

  • you own or hold all necessary rights, licences, and permissions to submit it and to grant the licence above;
  • the User Submission does not infringe the intellectual property, confidentiality, or other rights of any third party; and
  • the User Submission does not contain unlawful, harmful, or malicious material.

Confidentiality

We will treat technical User Submissions marked or reasonably understood to be confidential as confidential, and will not disclose them to third parties except to our personnel, affiliates, and subcontractors who need them to respond to your enquiry or fulfil an order, and except as required by Applicable Law. This obligation does not apply to information that is or becomes public through no fault of ours, that we already lawfully held, or that we develop independently.

10. Prohibited Uses

You agree not to use the Website, the Services, or any Content to, or in connection with any attempt to:

  • violate any Applicable Law, including the Anti-Cyber Crime Law and the E-Commerce Law of the Kingdom of Saudi Arabia;

Liability arising from any actual supply of goods or services by SICAST is governed exclusively by the separate signed agreement or accepted purchase order referred to in Section 7, and not by these Terms.

You agree to indemnify, defend, and hold harmless SICAST, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • any User Submission you provide, including any claim that it infringes the rights of a third party; or
  • any false or misleading information you supply through the Website.

This indemnity survives the termination of these Terms and your use of the Website.

We handle Personal Data in accordance with our Privacy Policy and with Applicable Law, including the Saudi Personal Data Protection Law (the "PDPL") issued by Royal Decree No. M/19 dated 9/2/1443H and its Implementing Regulations, as supervised by the Saudi Data and Artificial Intelligence Authority (SDAIA).

Subject to and in accordance with the PDPL and Applicable Law, you may have the following rights in relation to your Personal Data:

  • the right to be informed about the collection and processing of your Personal Data and the legal basis for it;
  • the right to access your Personal Data held by us;
  • the right to request correction of your Personal Data;
  • the right to request deletion of your Personal Data;
  • the right to withdraw your consent where processing is based on consent; and

Where Personal Data is transferred outside the Kingdom of Saudi Arabia, we take steps to ensure such transfer is carried out in accordance with the cross-border data transfer requirements of the PDPL and its Implementing Regulations. 16. Force Majeure

SICAST shall not be liable for any failure or delay in performing its obligations in connection with the Website where such failure or delay results from causes beyond our reasonable control. These causes include, without limitation, acts of God, natural disasters, fire, flood, sandstorm, epidemic or pandemic, war, civil unrest, acts of government or regulatory authority, power or utility failures, interruptions or failures of telecommunications or internet services, cyber-attacks, and industrial disputes.

During the continuation of such an event, our affected obligations shall be suspended, and we shall use reasonable efforts to mitigate its effects.

17. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or formation, are governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

The competent courts of Riyadh, Kingdom of Saudi Arabia, shall have exclusive jurisdiction to settle any such dispute or claim, and you irrevocably submit to the jurisdiction of those courts.
